Enphase Energy Announces Pricing of $320 Million of 0.25% Convertible Senior Notes Due 2025

FREMONT, Calif., March 05, 2020 (GLOBE NEWSWIRE) -- Enphase Energy, Inc. (NASDAQ:ENPH) today announced the pricing of $320 million aggregate principal amount of 0.25% convertible senior notes due 2025 (the “Notes”) in a private placement to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). Enphase also granted the initial purchasers of the Notes a 13-day option to purchase up to an additional $30 million aggregate principal amount of the Notes to cover over-allotments, if any. The sale of the Notes to the initial purchasers is expected to settle on March 9, 2020, subject to customary closing conditions, and Enphase estimates that it will receive approximately $312.5 million in net proceeds (or $341.8 million if the initial purchasers exercise their option to purchase additional notes in full) after deducting the initial purchasers’ discount and estimated offering expenses payable by Enphase.

The Notes will bear interest at a rate of 0.25% per year. Interest will be payable semiannually in arrears on March 1 and September 1 of each year, beginning on September 1, 2020. The Notes will mature on March 1, 2025, unless earlier converted or repurchased in accordance with their terms. Enphase may not redeem the Notes prior to the maturity date.

The initial conversion rate for the Notes is 12.2637 shares of Enphase common stock per $1,000 principal amount of the Notes (which is equivalent to an initial conversion price of approximately $81.54 per share of its common stock). The initial conversion price represents a premium of approximately 52.50% to the $53.47 per share closing price of Enphase common stock on March 4, 2020. Prior to the close of business on the business day immediately preceding September 1, 2024, the Notes will be convertible at the option of the noteholders only under certain circumstances and during certain periods as set forth in the indenture for the Notes. Thereafter, until the close of business on the second scheduled trading day immediately preceding the maturity date, the Notes will be convertible at the option of the noteholders at any time regardless of these requirements. Initially, conversion of the Notes will be settled solely in cash; however, following satisfaction of certain share reservation conditions, conversion of the Notes will be settled in cash, shares of Enphase common stock or a combination of cash and shares of Enphase common stock, at Enphase’s election.

In connection with the pricing of the Notes, Enphase entered into convertible note hedge transactions with certain of the initial purchasers of the Notes and/or their respective affiliates and/or other financial institutions (the “hedge counterparties”). The convertible note hedge transactions are expected generally to reduce potential dilution to Enphase common stock upon any conversion of the Notes and/or offset any cash payments Enphase is required to make in excess of the principal amount of converted Notes, as the case may be. Enphase also expects to enter into warrant transactions with the hedge counterparties. The warrant transactions could separately have a dilutive effect to the extent that the market value per share of Enphase common stock exceeds the strike price of the warrants. The strike price of the warrant transactions will initially be approximately $106.94 per share, which represents a premium of approximately 100.00% over the last reported sale price of Enphase common stock of $53.47 per share on March 4, 2020 and is subject to certain adjustments under the terms of the warrant transactions. If the initial purchasers exercise their option to purchase additional Notes, Enphase expects to enter into additional convertible note hedge transactions and additional warrant transactions with the hedge counterparties. 

Enphase expects that, in connection with establishing their initial hedge of the convertible note hedge transactions and warrant transactions, the hedge counterparties or their respective affiliates may enter into various derivative transactions with respect to Enphase common stock concurrently with or shortly after the pricing of the Notes. This activity could increase (or reduce the size of any decrease in) the market price of Enphase common stock at that time.

In addition, the hedge counterparties or their respective affiliates may modify their hedge positions by entering into or unwinding various derivatives with respect to Enphase common stock and/or purchasing or selling Enphase common stock or other securities in secondary market transactions following the pricing of the Notes and prior to the maturity of the Notes (and are likely to do so during any observation period related to a conversion of the Notes). This activity could also cause or avoid an increase or a decrease in the market price of Enphase common stock or the Notes and, to the extent the activity occurs during any observation period related to a conversion of the Notes, it could affect the number of shares and value of the consideration that noteholders will receive upon conversion of the Notes.

Enphase expects to use $17.5 million of the net proceeds (or $19.1 million if the initial purchasers exercise their option to purchase additional notes in full) from the offering of the Notes to pay the cost of the convertible note hedge transactions described above (after such cost is partially offset by the proceeds to Enphase from the sale of the warrants described above). Enphase intends to use the remaining net proceeds from the offering of the Notes for general corporate purposes, which may include the repayment of indebtedness, working capital, potential acquisitions and strategic transactions. However, Enphase currently has no commitments with respect to any such acquisitions or other strategic transactions.  Certain of the initial purchasers or their affiliates may be holders of Enphase’s existing indebtedness that it repays, redeems, repurchases, defeases or otherwise retires.
